The end of the year is a time to sum up latest activities and develop plans for the upcoming years. The year 2023 was very intense for the Tax Practice in terms of involvement in M&A transactions, which we carried out for our clients. We have advised on tax issues in multiply mergers and acquisition where we e.g developed and implemented a tax-effective transaction concept, adjusted groups structure to the needs of the transaction and the investor's expectations in a tax-effective manner, structured the transaction in a manner ensuring security and maintaining the ownership parity in the groups after the transaction.
Most of these transactions involved a cross-border aspect:

- Assistance to Astara Poland with the acquisition from Nissan of its business involving the distribution of car and car parts for Nissan cars in Poland and related services
- advisory to SAT Sp. z o.o., the owner of S'portofino shops, in tax aspects of the sale of a majority stake to the private equity fund Avallon MBO.
- assistance to ID Logistics, a French logistics group listed on the Paris Stock Exchange, on the tax issues in acquisition of a 100% stake in the Polish company Spedimex, a leading logistics operator specialising in the fashion and e-commerce sectors.
- tax advisory to Bunzl on its first acquisition on Poland - the Safety First Group, a distributor of personal protective equipment.
- support to the owners of the Polish company InfiniteDATA, that have sold 100% of the company’s shares to a German-listed company offering global IT solutions, Beta Systems DCI Software AG.
