Private Wealth Services

We are advising a Uruguay-based fintech startup company that provides an open banking platform to LATAM customers. We reviewed their former corporate structure (a Delaware Corporation) and designed a whole new corporate and operational structure, much more efficient from a tax perspective and also considering their goals to seek funding and the interests of their current Seeds Round investors.

We assisted on the set up a Cayman Holding company, designed various investment schemes (which included several company cap tables and shareholding strategies), drafted all relevant documents to close the Seeds Round and advised the company on their negotiations with their investors.

Also, we advise on a daily basis on local and international corporate tax issues, taxation of employees and contractors, etc. Currently, we are advising the company in a potential acquisition by a Swedish Company.

Innovation Legal / Tax / Tech has successfully advised Prometeo OpenBanking, a uruguayan FinTech with presence in Latam, in its due diligence as legal and tax advisors, to close its Series A Fundraising in the amount of USD 13MM.
